These terms set out the basis on which Nimit Studio ("we", "us", "the studio") provides services to clients ("you", "the client"). They apply to all engagements unless a separate written agreement has been signed.
We have tried to keep this document readable. If something is unclear, please contact us before beginning an engagement and we will be glad to explain.

1. Services
Nimit Studio offers three services:
- Concept Mapping (฿4,600): A structured review of the client's workflows to identify where AI tools may offer practical support. Delivered as a written options document. No build work is included.
- Drafted Integration (฿9,800): Design and build of one AI-assisted tool integrated into one chosen application or platform. Includes a staff walkthrough and written handover notes. Delivered over approximately five weeks.
- Studio Support Plan (฿17,100 per month): Ongoing review, adjustment, and documentation of an existing integration. Billed monthly. Includes monthly written summaries and a named contact.
Services are carried out in English and, where agreed in writing, also in Thai.
2. Engagement and Agreement
An engagement begins when both parties have confirmed the scope in writing — by email, line message, or a signed engagement letter — and the applicable deposit has been received.
For the Concept Mapping service, payment in full constitutes agreement to proceed. For Drafted Integration and Studio Support, a written confirmation of scope is required before work begins.
These terms are incorporated by reference into all such confirmations unless a separate written agreement explicitly supersedes them.
3. Fees and Payment
All fees are stated in Thai Baht (฿) and are inclusive of applicable taxes unless stated otherwise.
- Concept Mapping: Full payment required before the session is scheduled.
- Drafted Integration: 50% due on confirmation of scope; the remaining 50% due on delivery of the completed handover document.
- Studio Support Plan: Billed monthly in advance on the first day of each service month. The first payment is due before the plan begins.
Payment is accepted by bank transfer to the details provided on the invoice. Invoices are issued in Thai Baht. Late payments beyond 14 days of the due date may result in a pause of service until the balance is settled.
Prices are reviewed periodically. Any change to fees for an ongoing Studio Support Plan will be communicated at least 30 days in advance.
4. Scope and Changes
The Concept Mapping service covers the workflow areas agreed at the time of booking. Review of significantly different or additional areas may be subject to a separate engagement.
For Drafted Integration, the agreed scope covers integration into one tool or platform. Changes to the chosen platform, or additions to the agreed build scope, will be discussed openly. Work outside the agreed scope is handled as a separate arrangement, quoted and confirmed in writing before it begins.
We aim to accommodate reasonable refinements within scope without additional charge. Material changes to the brief after build work has commenced will be assessed individually.
5. Timelines and Delivery
Timelines stated in service descriptions are estimates based on typical engagements. The Drafted Integration is typically completed in approximately five weeks from the confirmed start date, provided that client inputs and access are available on time.
We will communicate promptly if circumstances arise that affect a timeline. Where delays are caused by the client's availability, access to systems, or delayed responses, the delivery schedule will adjust accordingly.
Delivery of the Concept Mapping options document is typically within seven working days of the session. Delivery of Drafted Integration handover notes is at the time of the final walkthrough.
6. Client Responsibilities
Clients agree to:
- Provide accurate information about their workflows, systems, and requirements during the engagement.
- Make available the necessary system access, credentials, and internal contacts needed for the build.
- Respond to requests for clarification or review within a reasonable time. A reasonable time is understood as five working days unless a different timeframe is agreed.
- Ensure that their own use of any delivered tool complies with applicable laws, including Thai law and PDPA requirements.
- Not share credentials or system access provided for the engagement with third parties not involved in the project.
We are not responsible for outcomes arising from inaccurate information provided by the client, or from changes the client makes to the integrated tool after delivery.
7. Intellectual Property
The options document delivered as part of Concept Mapping, and the handover notes delivered as part of Drafted Integration, become the property of the client upon full payment.
Any proprietary methodologies, templates, or internal frameworks used in the course of delivering the service remain the property of Nimit Studio.
The client retains ownership of all data, documents, and existing systems they provide access to during the engagement.
Third-party tools or platforms incorporated into an integration are subject to their own terms of service. The client is responsible for maintaining appropriate licences and agreements with those platforms.
8. Confidentiality
We treat all information shared by the client during an engagement — including business processes, client data, and internal documents — as confidential. This information is not shared with third parties except where necessary to deliver the agreed service, and only with the client's knowledge.
Clients are asked to treat information about our internal processes and tools with comparable discretion.
Confidentiality obligations remain in effect for three years following the end of an engagement, unless a shorter period is agreed in writing.
9. Data and Privacy
Nimit Studio handles personal data in accordance with the Personal Data Protection Act B.E. 2562 (PDPA) and our Privacy Policy, available at privacy-policy.html.
Where an engagement requires us to access or process the client's own customer data, we do so only to the extent necessary to complete the agreed work. We recommend that clients review whether their own PDPA obligations are met before integrating any AI-assisted tool into workflows that touch personal data.
We do not use client data for any purpose outside the scope of the engagement, and we do not retain it after the engagement concludes unless there is a legal obligation to do so.
10. Limitation of Liability
We take care in our work. However, AI-assisted tools operate within defined parameters and are not suitable for every task. We do not accept responsibility for outcomes arising from the client's reliance on an integrated tool beyond its agreed scope of use.
Our total liability for any claim arising from an engagement is limited to the fees paid for that engagement.
We are not liable for loss of revenue, business interruption, or consequential damages except where such liability cannot be excluded under Thai law.
Nothing in these terms limits liability for fraud, wilful misconduct, or any other matter where limitation is not permitted by law.
11. Termination
Concept Mapping: Cancellation at least 3 working days before the scheduled session entitles the client to a full refund. Cancellations within 3 working days are subject to a 50% cancellation fee.
Drafted Integration: If the client wishes to end the engagement after work has begun, fees for work completed to that point are due. The initial 50% deposit is non-refundable once build work has commenced.
Studio Support Plan: Either party may end the plan by giving 30 days' written notice. Fees paid for the current month are not refunded. Fees for the notice period are due.
We reserve the right to end an engagement if the client's conduct causes significant difficulty — for example, persistent unavailability, repeated scope changes without agreement, or non-payment. We will communicate concerns before taking this step wherever possible.
12. Governing Law
These terms are governed by the laws of the Kingdom of Thailand. Any dispute that cannot be resolved informally will be referred to the courts of Chiang Mai Province.
We prefer to resolve disagreements through direct conversation. If a concern arises during or after an engagement, we ask that it be raised with us in writing first so we can address it promptly.
13. Changes to These Terms
We may update these terms from time to time. The current version is always available on this page with the date of last revision noted at the top.
For ongoing Studio Support clients, any material changes to terms will be communicated in writing at least 30 days before they take effect.
Continued use of our services after a change takes effect is taken as acceptance of the updated terms.
